Terms of service

Updated October 28, 2026

These terms are an agreement between you and Halfspace, Inc., a Delaware corporation ("Halfspace", "we") for using Facet, at facet.halfspacelabs.com, its API and its agent tools (together, "Facet"). If you use Facet for a company, you agree for that company and confirm you may. Our privacy policy, which explains how we handle data, and our acceptable use policy are part of these terms.

Your account

What you may and may not do

Use Facet to build, check and run specialists for your own work and products. Follow the acceptable use policy: it lists what Facet may not be used for, how we check, and what we do when the rules are broken.

Facet's teacher and base models are open-weight models with their own licenses (for example Apache 2.0). When you export a specialist, those licenses apply to it too.

Who owns what

Billing

Specialists can be wrong

Facet checks every version against your Expectations, but no model is right every time. You decide where to use a specialist and are responsible for reviewing its outputs where mistakes matter, such as medical, legal, financial or safety decisions.

Changes to Facet

Facet is new and will change. We may add, change or remove features. If we remove something you rely on, we'll tell you ahead of time when we can, and you can always export your specialists first.

Ending

You can stop using Facet and close your account at any time. We may suspend or close an account that breaks these terms or puts Facet or others at risk, with notice when we can. After an account closes, you can ask for an export within 30 days, then we delete your data as the privacy policy says. Sections on ownership, billing owed, disclaimers, liability and disputes continue after ending.

Disclaimers

Facet is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise Facet will be uninterrupted or error free.

Limits on liability

To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about Facet is limited to the greater of what you paid us in the 12 months before the claim and $100. These limits don't apply to your payment obligations or to misuse that breaks the section on what you may not do.

Indemnity

If someone makes a claim against us because of your data or your use of Facet in breach of these terms, you'll cover our reasonable costs of that claim.

Disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules, and disputes go to the state or federal courts there. Before going to court, write to us and we'll try to resolve it within 30 days.

Changes to these terms

When we change these terms we update the date above. For changes that matter we tell you by email or in the app at least 30 days before they take effect; using Facet after that means you accept them.
